Terms of Service

These Terms govern your use of MemberRewards (the “Platform”, “we”, “us”), an advertising exchange that connects advertisers and influencers on Telegram, X and other supported networks through results-based reward pools. By accessing or using the Platform you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into these Terms. You are responsible for complying with the laws of your jurisdiction, including any restrictions on crypto assets. The Platform is not offered where such use would be unlawful.

2. Accounts

You access the Platform via Telegram login or email. You are responsible for your account, for the accuracy of the information you provide, and for all activity under your account. Keep your credentials and wallets secure.

3. The Service

Advertisers fund a prize pool for a campaign and set targeting and a deadline. Influencers publish posts about the campaign on their connected channels or accounts. The Platform measures reach and engagement, applies a transparent rating and anti-fraud checks, and distributes the pool proportionally to results.

4. Advertisers

• You fund each pool into a dedicated on-chain escrow address in a supported asset (USDT/USDC on BNB Chain, Ethereum, Polygon, TRON, or TON).
• Funded amounts are committed to paying influencers by result. Unused or unearned amounts are handled per the rules shown for each campaign (for example, returned if minimum participation is not met).
• You are responsible for the legality and accuracy of your campaign content and claims.

5. Influencers

• Participation is voluntary. Rewards are not guaranteed and depend on your verified results relative to other participants.
• You must own the channels and accounts you connect and post genuine content. Bought views, fake engagement, bots and misleading posts are prohibited and excluded from the rating.
• Payouts are sent on-chain to the wallet you provide. You are responsible for its correctness.

6. Fees

The Platform charges a commission on each side of a pool, as displayed in your cabinet before you commit. Referral rewards, where applicable, are paid out of the Platform’s commission and never reduce influencers’ payouts.

7. Payments and crypto

All deposits and payouts are blockchain transactions. Network fees apply and transactions are final and irreversible. You are solely responsible for providing correct wallet addresses and for any taxes arising from your use of the Platform. Exchange rates and token values may fluctuate.

8. Genesis NFT

Genesis NFT are digital collectibles that may grant utility such as revenue sharing and access to selected campaigns across our current and future projects. They are not securities, shares or a promise of profit. Utility and mechanics may evolve. Purchase only what you can afford to lose and understand that secondary value, if any, is set by the market.

9. Prohibited conduct

• Fraud, manipulation of metrics, bots, or artificial engagement.
• Illegal, infringing, deceptive, hateful or harmful content.
• Attempting to bypass anti-fraud, fees, escrow or access controls.
• Any use that harms the Platform, its users or third parties.

10. Anti-fraud and enforcement

We may review activity, withhold or adjust rewards affected by detected fraud, and suspend or terminate accounts that violate these Terms. Ratings and eligibility are determined by our verification systems.

11. Third-party services

The Platform relies on Telegram, X, blockchains, payment tools (such as xRocket) and other providers. We are not responsible for their availability, actions or policies. Your use of them is subject to their own terms.

12. Intellectual property

The Platform, its software, design and content are owned by us or our licensors. You keep rights to content you create, and grant us a license to display and process it as needed to operate the Platform.

13. Disclaimers

The Platform is provided “as is” and “as available”, without warranties of any kind. We do not guarantee uninterrupted operation, specific earnings, results, or the conduct of any user.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages, lost profits, or losses arising from crypto volatility, blockchain irreversibility, third-party services, or user conduct. Our aggregate liability is limited to the fees you paid to us in the three months before the claim.

15. Termination

You may stop using the Platform at any time. We may suspend or terminate access for breach of these Terms or to comply with law.

16. Changes

We may update these Terms. Material changes will be reflected by the effective date above. Continued use after changes means you accept the updated Terms.
